1. Acceptance of Terms

These Terms of Service ("Terms") form a legally binding agreement between you ("User", "you") and Bitrex Digital LLC (a Colorado limited liability company, with registered office at 1500 N Grant St, Ste N, Denver, CO 80203, United States of America, LLC Certificate No. 20261668852, Colorado Secretary of State; "BitRex", "we", "us", "our"), the operator of the cloud-mining platform accessible at bitrex.digital (the "Platform"). By creating an account, accessing, or using any part of the Platform you confirm that you have read, understood, and agreed to be bound by these Terms in their entirety. If you do not agree, you must not use the Platform.

2. Eligibility

You must be at least eighteen (18) years of age and possess full legal capacity in your jurisdiction of residence to enter into this agreement. The Services are not offered to, and may not be used by, any person located in or resident of any jurisdiction where the offering or use of cloud-mining services is prohibited or restricted by applicable law. You represent and warrant that you are not subject to any sanctions list maintained by the United Nations, the European Union, the United States Office of Foreign Assets Control ("OFAC"), or any equivalent authority.

3. Description of the Service

BitRex provides a managed cloud-mining service whereby Users subscribe to allocated hash-rate generated by hardware that BitRex owns, leases, or sub-contracts in industrial data-centres. Mining output is converted into the User's account balance on a continuous basis. The Platform also provides a digital wallet for deposits, withdrawals, internal transfers, and ancillary services such as referral programmes and rank-based bonuses.

4. Account Registration

To access the Services you must create an account by providing accurate, complete, and current information. You are solely responsible for safeguarding your credentials, including your password, two-factor authentication device, and any optional withdrawal password. You agree to notify BitRex immediately of any unauthorised use or suspected breach of your account. BitRex shall not be liable for any loss arising from your failure to maintain account security.

5. Deposits, Withdrawals and Service Levels

Deposits made via supported networks (TRC-20 for USDT, BEP-20 for USDC) are credited instantly upon confirmation of the originating block. Withdrawal requests are processed and settled to the destination address within six (6) hours of submission, save in cases where additional verification is required to comply with our Anti-Money-Laundering and Know-Your-Customer obligations. BitRex reserves the right to apply network and processing fees as published on the Platform from time to time.

6. Mining Contracts

Each mining plan you subscribe to constitutes a separate contract with defined duration, hash-rate allocation, daily yield, and capital-treatment terms (return of principal, compounding, or sale). The economic parameters at the moment of purchase are binding for the duration of that contract and shall not be retro-actively modified by BitRex. Plans are non-transferable.

7. Fees and Charges

BitRex reserves the right to charge fees including, without limitation, a harvest fee deducted from each manual collect, deposit gateway fees imposed by third-party processors, and withdrawal network fees. The applicable fee schedule is published on the Platform and may be amended from time to time with prospective effect only.

8. User Obligations and Prohibited Conduct

You agree that you shall not:

• Use the Platform for any unlawful purpose, including money laundering, terrorist financing, fraud, tax evasion, or evasion of sanctions;
• Operate multiple accounts to exploit referral, rank, leaderboard, or promotional mechanics;
• Attempt to interfere with, compromise, or reverse-engineer any part of the Platform, including its smart contracts, APIs, or back-end infrastructure;
• Submit false, misleading, or stolen identification documents during KYC procedures;
• Use any automated means, including bots and scrapers, to access the Platform without our prior written consent.

9. Intellectual Property

All intellectual-property rights in and to the Platform, including its source code, design, trademarks, copyrighted material, and any aggregated or anonymised data derived from User activity, are and shall remain the exclusive property of BitRex. You receive a limited, non-exclusive, revocable, non-transferable licence to access the Platform for personal, non-commercial use only.

10. Suspension and Termination

We may suspend or terminate your account, with or without notice and without refund of any outstanding balances obtained in breach of these Terms, if we have a reasonable basis to suspect (i) breach of these Terms, (ii) breach of applicable law, (iii) provision of false KYC information, or (iv) activity that threatens the integrity or security of the Platform or other Users.

11. Disclaimers and Limitation of Liability

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, BitRex disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. BitRex shall not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages, including loss of profits, revenue, goodwill, or data, arising out of or in connection with your use of the Platform. Our aggregate liability shall in no event exceed the total fees paid by you to BitRex during the three (3) months preceding the event giving rise to the claim.

12. Indemnification

You agree to defend, indemnify and hold harmless BitRex, its officers, employees, agents and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs and expenses (including reasonable legal fees) arising from (i) your use of the Services, (ii) your breach of these Terms, or (iii) your violation of any applicable law or any rights of a third party.

13. Modifications

We may amend these Terms at any time. Material changes will be notified to you by email or through a prominent in-Platform notice at least seven (7) days before they enter into force. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by, and shall be construed in accordance with, the laws of the State of Colorado, United States of America, without regard to its conflict-of-law provisions. Any dispute arising out of or in connection with these Terms shall be finally settled by binding arbitration administered under the rules of the American Arbitration Association. The seat of arbitration shall be Denver, Colorado, conducted in English. Notwithstanding the foregoing, Bitrex Digital LLC reserves the right to bring proceedings for injunctive relief in any court of competent jurisdiction.

Service tickets may also be opened through the support panel within your account dashboard. Where this policy refers to "BitRex", "we", "us" or "our", it shall be deemed to refer to Bitrex Digital LLC.
